01Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you (the "Customer," "you," or "your") and Changsha Gaolunbu Composite Materials Co., Ltd. (长沙高伦布复合材料有限公司), operating the Tolmere platform under the strategic direction of Global TradeHub Limited (Hong Kong) (collectively "Tolmere," "we," "us," or "our"). By registering for, accessing, or using the Tolmere platform, website, or related services (the "Services"), you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.

02The Service

Tolmere is an AI-powered foreign-trade automation platform for exporters. It assists with inquiry replies, quotation generation, buyer-lead discovery, follow-up automation, and compliance monitoring across connected channels such as email, WhatsApp Business, WeChat, and B2B marketplaces. We may add, modify, or discontinue features from time to time. The Services are provided as a tool to assist your business; you remain responsible for reviewing and approving communications, quotations, and decisions before they take effect.

03Eligibility & Accounts

The Services are intended solely for businesses and their authorized representatives (18 years or older). You agree to provide accurate registration information and to keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. You are responsible for the acts and omissions of any users you invite to your workspace.

04Acceptable Use

You agree not to use the Services to:

1. violate any applicable law, export control, sanctions, tax, or customs regulation;
2. send unlawful, deceptive, infringing, or unsolicited bulk communications ("spam") in breach of anti-spam or data-protection laws;
3. process personal data without a lawful basis, or in violation of PIPL, GDPR, or other applicable rules;
4. reverse-engineer, resell, or build a competing product from the Services;
5. upload malware or attempt to disrupt, probe, or gain unauthorized access to the Services or other users' data.

You are solely responsible for the lawfulness of the outreach, contacts, and content you generate or send using the Services.

05Your Data & Ownership

As between you and Tolmere, you retain all rights to the business data, inquiries, contacts, and content you submit or generate through the Services ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services, as described in our Privacy Policy. You represent that you have the necessary rights and lawful basis to provide any personal data (including overseas buyer contacts) you import. With respect to such personal data, you act as the data controller and Tolmere acts as a processor on your behalf.

07Third-Party Integrations

The Services integrate with third-party platforms (e.g. WeChat Official Account, WhatsApp Business API, Alibaba International Station, Made-in-China, email providers, and customs-data sources). Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, accuracy, or conduct of third-party services, and integrations may change or become unavailable outside our control.

08Fees & Billing

Paid plans are billed in advance on the subscription cycle you select. Fees are non-refundable except where required by law or expressly stated. We may change pricing with prior notice, effective at your next renewal. You are responsible for any applicable taxes. Failure to pay may result in suspension or termination of the Services. Payment is processed by licensed third-party providers; we do not store full card numbers.

09Intellectual Property

The Tolmere platform, software, branding, and all related intellectual property are owned by Changsha Gaolunbu Composite Materials Co., Ltd. and/or Global TradeHub Limited. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. No other rights are granted.

10Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that AI output will be accurate or complete.

11Limitation of Liability

To the maximum extent permitted by law, Tolmere and its parent, affiliates, and personnel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from your use of the Services. Our total aggregate liability for any claim arising out of or relating to these Terms shall not exceed the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim.

12Indemnification

You agree to indemnify and hold harmless Tolmere, its parent, and personnel from any claims, losses, or expenses (including reasonable legal fees) arising from your Customer Data, your use of the Services, your outreach and communications, or your breach of these Terms or of any applicable law.

13Term & Termination

These Terms apply while you use the Services. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle. We may suspend or terminate your access for breach of these Terms, non-payment, or unlawful use. Upon termination, your right to use the Services ends and your data is handled as described in the Privacy Policy (anonymized or securely deleted within 30 days, subject to legal retention).

14Governing Law & Changes

These Terms are governed by the laws of the Hong Kong Special Administrative Region for matters concerning Global TradeHub Limited, and by the laws of the People's Republic of China for matters concerning the mainland operating entity and China-based data processing, without regard to conflict-of-law principles. We may update these Terms from time to time; material changes will be posted on this page with an updated effective date, and continued use of the Services constitutes acceptance.
